Terms of Service

1. Eligibility

You must be at least 16 years old to use Vivified. If you use Vivified on behalf of a business, you represent that you have the authority to bind that entity to these terms.

2. Our Service

Vivified allows users to upload images and generate videos using artificial intelligence. Outputs are generated algorithmically and may vary in quality and uniqueness.

Vivified also lets users create a movie from their generated clips by combining them all together. Users can also choose from various melodies to put onto their movie.

Users will have to create an account to use the Service. Account security is your responsibility.

Outputs are generated using machine learning systems.

The Service may rely on third-party artificial intelligence providers to generate outputs. We do not control and are not responsible for:

⚠️ Any interruptions, errors, or failures caused by such providers

By using the Service, you acknowledge that your content may be processed by third-party providers solely for the purpose of delivering the Service.

5. Content

Content on the Services

While we prohibit certain conduct and Content on our Service, we may not monitor or control the Content shared via the Service, and we are not responsible for such Content.

We reserve the right to remove Content that violates these terms or our Community Guidelines, including copyright, trademark, or other intellectual property violations, sexually explicit Content, or Content that we determine is otherwise inappropriate in our sole discretion.

Grant of Rights to Your Content

You affirm and guarantee that:

(1) you possess, or have secured, all necessary rights, licenses, consents, permissions, and authority to grant the rights described in this section;

(2) your submission and sharing of content do not infringe upon any privacy, publicity, copyright, contractual, trademark, intellectual property, or other rights of any individual, company, or third party; and

(3) publishing or sharing your content through the Service does not violate any agreement or obligation you have with a third party.

You can end your Content license to us by deleting your Content from the Service or by terminating your account.

Generated Content and Usage Rights

Videos and clips created using the Service (“Generated Content”) may be used by you for:

• Personal purposes
• Commercial purposes, including monetization, advertising, and distribution

This right applies provided that:

• You comply with these Terms
• You use only content you have rights to

Music Provided by the Service

You are granted a non-exclusive, royalty-free license to use Service Music:

• Within Generated Content
• For both personal and commercial purposes

You may not:

• Use Service Music as standalone audio files
• Resell, sublicense, or distribute the music separately from your videos

Vivified Content

All materials provided by Vivified (excluding User Content), including software, templates, and assets (“Vivified Content”), remain the property of Vivified or its licensors.

You may use Vivified Content only as permitted within the Service.

6. Prohibited Uses

• Upload content that infringes intellectual property rights
• Create or distribute illegal, harmful, explicit or deceptive content
• Use the Service to generate misleading or fraudulent media (including impersonation or deepfakes)
• Attempt to reverse engineer or disrupt the Service

We reserve the right to suspend or terminate accounts that violate these rules.

7. Intellectual Property

Vivified retains all rights to the Service, including software, technology, design, and underlying models.

Nothing in these Terms transfers ownership of Vivified intellectual property to you.

You may use generated outputs for lawful purposes, subject to these Terms.

8. Termination

We may suspend or terminate your access if you violate these Terms or misuse the Service.

You may stop using the Service at any time.

9. Disclaimer of Warranties

The Service is provided “as is” and “as available.” We do not guarantee:

• That the Service will be uninterrupted or error-free
• That generated content will meet your expectations

10. Limitation of Liability

To the maximum extent permitted by law, Vivified shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service.

11. Changes to the Terms

We may update these Terms from time to time. Continued use of the Service means you accept the updated Terms.

12. Payments, Credits, & Billing

12.2 Credits Usage

• The number of credits required for each action (e.g., video generation) will be displayed within the Service
• Credits costs may change at any time
• Once credits are used to generate content, they are considered consumed and cannot be reversed

12.4 Payment Processing

We use a third-party payment processor, Stripe, to handle payments. By making a purchase, you agree to Stripe’s terms and privacy practices.

We do not store your full payment information on our servers.

12.5 Pricing

• All prices are listed in USD unless otherwise stated
• We reserve the right to modify pricing for credits at any time
• Changes will not affect credits already purchased

12.6 Refund Policy

All credits purchases are final and non-refundable, except as required by applicable law.

However, we may issue refunds at our sole discretion in cases such as:

• Duplicate charges
• Billing errors
• Verified technical failures that prevented delivery of the Service

If a technical issue occurs during generation, we may restore credits instead of issuing a monetary refund.

12.7 Expiration

Purchased tokens do not expire.

12.8 Account Balance

You are responsible for maintaining the security of your account.

We are not responsible for lost or spent credits due to:

• Unauthorized access resulting from your failure to secure your account
• User error in using the Service

12.8 Failed Payments

If a payment fails:

• Credits will not be issued
• We may retry the transaction or request an alternative payment method

12.9 Chargebacks and Disputes

If you initiate a chargeback or dispute:

• We may suspend or terminate your account
• We reserve the right to revoke any credits associated with the disputed charge

You agree to contact us first to resolve any billing issues.

12.10 Taxes

You are responsible for any applicable taxes, duties, or fees associated with your purchases.

12.11 Changes to Billing Terms

We may update these billing terms from time to time. Continued use of the Service constitutes acceptance of those changes.

13. 90-Day Lifecycle

All projects and assets are automatically purged 90 days after creation to optimize platform performance.

14. Archiving

Vivified is a creative tool, not a backup service. Users must download movies and clips before the expiration date.

15. No Recovery

Data purged via the automated cleanup is unrecoverable. We cannot restore purged project files.

16. Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

17. Governing Law

Disputes are resolved through binding arbitration in San Francisco, CA.

18. Termination

We may suspend or terminate your access at any time for violations of these Terms or misuse of the Service.

19. Limitation of Liability

To the fullest extent permitted by law, we are not liable for:

• Indirect, incidental, or consequential damages
• Loss of data, profits, or business opportunities
